Terms of Service

1. Acceptance of Terms
By accessing or using the Rivier platform, including the Rivier App, Rivier Platform APIs, and any associated services (collectively, the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
Rivier reserves the right to modify these Terms at any time. Material changes will be communicated through the application. Your continued use of the Service constitutes acceptance of the updated Terms.
2. Eligibility
You must be at least 18 years old to use the Service. By using Rivier, you represent that you are of legal age in your jurisdiction and that you are not prohibited from using the Service under applicable laws, including sanctions and export control regulations.
Access to the Service may require identity verification. You agree to provide accurate information during the verification process and to maintain the accuracy of your account information.
3. Account and Security
You are responsible for maintaining the security of your account credentials, including your passkeys and connected authentication providers. Rivier uses MPC (Multi-Party Computation) threshold signing for wallet operations. No single party, including Rivier, holds your complete private key.
You must immediately notify Rivier if you suspect unauthorized access to your account. Rivier is not liable for losses resulting from unauthorized use of your credentials.
4. Service Description
Rivier provides AI-powered financial infrastructure, including but not limited to:
- Non-custodial digital asset wallets with MPC security
- AI agent-assisted portfolio management and trade execution
- Cross-chain asset swaps and bridging
- Decentralized identity management
- Developer platform APIs and infrastructure
The Service is provided on an "as is" and "as available" basis. Rivier does not guarantee uninterrupted availability. Maintenance windows and service updates may temporarily affect access.
5. AI Agents and Automated Trading
AI agents operate under your configured parameters (spending limits, allowed assets, autonomy levels). You acknowledge that:
- AI agent recommendations are informational and not financial advice
- You are solely responsible for approving or rejecting agent-proposed actions
- Autonomous agent actions (where enabled) execute within your configured risk parameters
- AI models may produce errors in judgment, and past performance does not guarantee future results
- You can freeze or revoke agent identities at any time through the guardian controls
6. Fees and Billing
Subscription fees are denominated in USDC and deducted directly from your wallet balance. Pricing for each tier is displayed in the application. Trading fees, identity minting fees, and other service fees are disclosed before each transaction.
Subscription renewals are processed automatically. If your balance is insufficient, a grace period applies before downgrade. Refunds for unused subscription periods are not provided upon voluntary cancellation, though you retain your tier access until the end of the billing period.
Blockchain network fees (gas fees) are separate from Rivier platform fees and are determined by the respective network at the time of transaction.
7. Risk Disclosure
Digital asset trading involves substantial risk of loss. You acknowledge and accept the following risks:
- Digital asset prices are highly volatile and may lose significant value
- Cross-chain transactions carry additional bridge and settlement risks
- Smart contract vulnerabilities may result in loss of funds
- Regulatory changes may affect the availability or legality of certain assets or services in your jurisdiction
- Network congestion or outages may delay transaction processing
Rivier does not provide investment advice. Information provided through the platform, including AI agent analysis, is for informational purposes only and should not be construed as financial, legal, or tax advice.
8. Prohibited Uses
You agree not to:
- Use the Service for money laundering, terrorist financing, or other illegal activities
- Attempt to circumvent identity verification, compliance checks, or security measures
- Use the Service if you are located in a sanctioned jurisdiction
- Abuse rate limits, APIs, or infrastructure in a way that degrades service for other users
- Reverse engineer, decompile, or attempt to extract source code from the Service
- Create multiple accounts to circumvent restrictions or tier limits
Violation of these terms may result in immediate account suspension or termination.
9. Intellectual Property
The Rivier name, logo, and all associated branding are proprietary to Rivier. The platform software, documentation, and related materials are protected by intellectual property laws.
You retain ownership of your digital assets, agent configurations, and portfolio data. Rivier claims no ownership over your assets or content.
10. Limitation of Liability
To the maximum extent permitted by law, Rivier shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or digital assets, arising from your use of the Service.
Rivier's total liability for any claim arising from or related to the Service shall not exceed the total fees paid by you to Rivier in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Rivier, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
12. Termination
You may close your account at any time. Upon termination, your access to the Service will be revoked, but you will retain access to your digital assets through your wallet keys for a reasonable withdrawal period.
Rivier may suspend or terminate your account for violation of these Terms, legal requirements, or extended inactivity. Where possible, advance notice will be provided.
13. Governing Law
These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law.
